Brand Guidelines Policy

1. Purpose

This policy governs Practitioner’s use of Company’s trademarks, trade names, logos, and other brand assets (“Marks”) in connection with the Practitioner Program. Proper use of the Marks protects the brand, ensures regulatory compliance, and maintains consumer trust.

2. Limited License

Company grants Practitioner a limited, non-exclusive, non-transferable, revocable license to use the Marks solely in connection with the authorized sale of Products during the term of the Practitioner Wholesale Agreement. All goodwill arising from Practitioner’s use of the Marks inures to Company.

3. Approved Use of Marks

When using Company’s Marks, Practitioner must:

  • Use Marks exactly as provided by Company — do not alter, modify, distort, or recolor
  • Maintain required clear space around logos as specified in brand assets provided
  • Use Marks only in connection with Products purchased through the Practitioner Program
  • Include the appropriate trademark symbol (® or ™) as indicated by Company
  • Ensure Marks are legible and displayed at an appropriate size

4. Approved Marketing Materials

  • Practitioner may use only marketing materials, images, and product descriptions provided or approved by Company.
  • Practitioner must not create, modify, or adapt marketing materials without Company’s prior written approval.
  • Company may provide approved materials through the Practitioner Portal, including product images, descriptions, social media templates, and print materials.

5. Prohibited Uses

The following uses of Company’s Marks are prohibited:

Domain Names and Social Media

  • Registering any domain name that incorporates Company’s Marks (e.g., “drbrightenessentials-[yourpractice].com”)
  • Registering social media handles or account names that incorporate Company’s Marks
  • Creating social media accounts, pages, or groups that could be confused with official Company accounts

Paid Advertising

  • Bidding on Company’s Marks (including “Dr. Brighten,” “Dr. Brighten Essentials,” “Brighten Essentials,” or variations) as keywords in paid search advertising (Google Ads, Bing Ads, etc.) without Company’s prior written approval
  • Running paid social media advertising featuring Products without Company’s prior written approval

AI-Generated Content

  • Using Company’s Marks in AI-generated content (text, images, video, or other media) without Company’s prior written approval

Endorsement and Affiliation

  • Implying any endorsement, sponsorship, partnership, or affiliation with Company beyond the authorized resale relationship
  • Representing or implying that Practitioner is an employee, agent, or representative of Company
  • Using Company’s Marks in a way that suggests Company endorses Practitioner’s practice, services, or other products

Other Prohibited Uses

  • Altering, modifying, or creating derivative versions of Company’s Marks
  • Using Company’s Marks in connection with products or services not provided by Company
  • Using Company’s Marks in any manner that is misleading, defamatory, or that disparages Company

6. Post-Termination

Upon termination of the Practitioner Wholesale Agreement:

  • Practitioner must immediately cease all use of Company’s Marks
  • Remove all Company branding, logos, and marketing materials from Practitioner’s website, social media accounts, and physical locations within ten (10) business days
  • Delete or destroy all digital and physical copies of Company-provided marketing materials
  • Remove all Product listings and Company-related content from Practitioner’s website

7. Enforcement

Company monitors use of its Marks and may take action against unauthorized or non-compliant use, including:

  • Requesting immediate correction
  • Suspending or terminating Practitioner’s participation in the Program
  • Pursuing legal remedies for trademark infringement or dilution
